This Software License Agreement (“SLA”) is a legal agreement between you and Z&Z Limited This SLA agreement governs your acquisition and use of our Z&Z software (“Software”) directly from Z&Z Limited or indirectly through a Z&Z Limited authorized reseller or distributor (a “Reseller”).

Please read this SLA agreement carefully before completing the installation process and using the Z&Z software. It provides a license to use the Z&Z software and contains warranty information and liability disclaimers.

If you register for a free trial of the Z&Z software, this SLA agreement will also govern that trial. By clicking “accept” or installing and/or using the Z&Z software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this SLA agreement.

If you are entering into this SLA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this SLA agreement, do not install or use the Software, and you must not accept this SLA agreement.

This SLA agreement shall apply only to the Software supplied by Z&Z Limitedherewith regardless of whether other software is referred to or described herein. The terms also apply to any Z&Z Limited updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

Z&Z Highest Encryption system was created by globally known encryption experts to fight Cyber-crimes attacks and frauds. Z&Z group is a recognized leading international provider of highest military grade encryption solutions. Z&Z group is known and trusted worldwide by private and public individuals and organizations that recognize the very real threats inherent in voice and data communications. Z&Z is used to protect communication for thousands of customers around the world, including privates, corporate and governmental organizations. Z&Z Highest Encryption system, end to end without any backdoor was created for maximum safety communication and file transfers.

It’s under the user own responsibility and obligation to check the legislation of the country where the Z&Z Highest Encryption system products are used.

In any case , the user engage himself to never use Z&Z Highest Encryption Calls, File transfer, Messages, Email, Video calls, GSM Spy, Securebox or any other Z&Z encryption solutions for any illegal use and/or any illegal actions and activities.

Z&Z was created to protect from hacks, stealing of information, but in no way are Z&Z products to be used in a purpose of illegal actions.

This Z&Z Software License (SLA) is a legal agreement between you (either an individual or a single entity) and Z&Z Ltd (“Z&Z”) for the Z&Z products which includes Software, online services, “online” or electronic documentation, printed documentation, example files, and license files or software keys (collectively referred to as “SOFTWARE”) and the data generated by the SOFTWARE (generated data is collectively referred to as the “OUTPUT”). The SOFTWARE also includes any updates and supplements to the original SOFTWARE that are provided to you by Z&Z. By installing, copying, accessing, or using the SOFTWARE or its OUTPUT you agree to be bound by the terms of this SLA. If you do not agree to the terms of this SLA, then DO NOT install or use the SOFTWARE. This SOFTWARE IS NOT FOR SALE. The SOFWARE is licensed to you as the end user, it is not sold.

SOFTWARE LICENSE:

Z&Z and/or its licensors own all copyright, trade secret, trademark, patent, and any other intellectual property or proprietary rights in and to the SOFTWARE.

Z&Z grants you a non-exclusive, non-transferable license to use a single copy of the SOFTWARE on a single hard drive provided this copyright is not violated and provided the terms and conditions of the SLA are accepted and observed. If you agree to all of the terms of this SLA, a license to use the SOFTWARE on a single hard drive is granted to you.

Z&Z Limited hereby grants you a personal, non-transferable, non-exclusive license to use the Z&Z software on your devices in accordance with the terms of this SLA agreement.

You are permitted to load the Z&Z software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Z&Z software.

You are not permitted to:

·         Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things

·         Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose

·         Allow any third party to use the Software on behalf of or for the benefit of any third party

·         Use the Software in any way which breaches any applicable local, national or international law

·         use the Software for any purpose that Z&Z Limited considers is a breach of this SLA agreement

INTELLECTUAL PROPERTY AND OWNERSHIP:

Z&Z Limited shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Z&Z Limited.

Z&Z Limited reserves the right to grant licenses to use the Software to third parties.

OTHER RIGHTS AND LIMITATIONS:

You may not decompile, disassemble, or otherwise reverse engineer the SOFTWARE

You may not transmit any portion of the SOFTWARE over a network, by telephone, or electronically by any means except as necessary to install your install your licensed copy of the SOFTWARE. You may not sell, transfer or convey the SOFTWARE to any third party.

The use of Z&Z SOFTWARE is for the registered end-user ONLY.

WARRANTY DISCLAIMER:

Z&Z has no knowledge of available ways to decrypt the OUTPUT and has not included any means within the SOFTWARE (such as “back doors”) that would enable Z&Z or anyone else to decrypt the OUTPUT. However, as with any security related product, there is always a chance of a successful attack on the security of the OUTPUT, but as for today it is not known about any method of attack. Accordingly, Z&Z does not assume responsibility for damages that might be caused by any unauthorized access to the OUTPUT.

Z&Z makes no representation that the SOFTWARE, its OUTPUT or the MEDIA are appropriate, legal or available for use under the laws of any country. You are responsible for ensuring that use of the SOFTWARE is permitted under and compliant with the laws of your jurisdiction. THE SOFTWARE, ITS OUTPUT AND THE MEDIA ARE PROVIDED “AS-IS,” WITHOUT WARRANTY OF ANY KIND. ANY USE OF THE SOFTWARE, ITS OUTPUT AND THE MEDIA IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Z&Z AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, DISTRIBUTORS AND LICENSORS (TOGETHER, THE “Z&Z PARTIES”) DISCLAIM ALL WARRANTIES

AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WITH RESPECT TO THE SOFTWARE, ITS OUTPUT, AND THE MEDIA. If any jurisdiction does not allow the exclusion of implied warranties contained in this SLA, then implied warranties in those jurisdictions will be excluded to the maximum extent permitted by law.

LIMITATION OF LIABILITY AND INDEMNIFICATION DISCLAIMER:

IN NO EVENT SHALL ANY Z&Z PARTY BE LIABLE TO YOU OR ANY THIRD PARTY, WHETHER UNDER FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SOFTWARE, ITS OUTPUT, OR THE MEDIA, INCLUDING POSSIBLE NON-RANDOMNESS OF THE SOFTWARE, ANT WHETHER

BASED ON CONTRACT, TORT, NEGLIGENCE STRICT LIABILITY OR OTHER WISE, EVEN IF ANY Z&Z PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. IN THE EVENT THAT ANY Z&Z PARTY IS FOUND LIABLE FOR ANY DAMAGES, THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE Z&Z PARTIES EXCEED THE GREATER

OF THE LICENSING FEES PAID BY YOU FOR THE SOFTWARE.

The Z&Z parties will not indemnify you and you will have no liability for any claim, action, or suit based on patent, trade secret, or copyright infringement arising from the use of the SOFTWARE, its OUTPUT or the MEDIA, including as a result of customization of the SOFTWARE (e.g., integrating with other applications). You acknowledge that you are solely responsible for determining whether your use infringes on a third partyʼs rights.

If any jurisdiction does not allow any of the exclusions or limitations of liability for damages contained in this SLA, then the Z&Z partiesʼ liability shall be limited in those jurisdictions to the extent permitted by law.

INDEMNIFICATION OF Z&Z:

You are solely responsible for ensuring that the absolute legal use of the SOFTWARE and its OUTPUT are permissible under and in compliance with the laws of your jurisdiction. You agree to indemnify and hold harmless on the Z&Z Parties for any and all liability, costs, expenses or damages arising out of your breach of this SLA and your use of the

SOFTWARE, its OUTPUT or the MEDIA

TERMINATION:

This SLA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Z&Z Limited.

It will also terminate immediately if you fail to comply with any term of this SLA agreement. Upon such termination, the licenses granted by this SLA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this SLA agreement.

This SLA is effective until terminated. You may terminate it at any time by destroying the

SOFTWARE and MEDIA and erasing any copies residing on computer and mobile equipment.

This SLA will also terminate if you do not comply with any terms and conditions of this SLA or if you fail to pay the applicable license fee. In addition, Z&Z may terminate this SLA in the event that it ceases to offer the SOFTWARE or ceases to offer the SOFTWARE on the same terms as the license that you acquired. Your sole remedy for such termination will be a pro rata refund of any pre-paid license fees. Z&Z reserves the right to terminate this SLA if it deems, in its sole discretion, that you are unreasonable in

your communications with Z&Z or other communications that pertain or relate to the SOFTWARE, its OUTPUT or the MEDIA. Upon any termination you agree to destroy any and all copies of the SOFTWARE and MEDIA and erase all copies residing on computer and mobile equipment. In case that the end user uses the single copy of the SOFTWARE in a way which violates and /or infringes any of the provisions of any International and/ or European and/ or end-userʼs country of origin legislation, Z&Z reserves the right to terminate and/or revoke, without any further notice, the SLA and /or the granting of the license to the end user. Z&Z reserves the right to authenticate and verify the information provided by the end user and if there is an infringement of any of the provisions of any International and/or European and/ or end-userʼs country of origin legislation, NOLIK reserves the right to terminate and/or revoke, without any further notice, the SLA and /or the granting of the license to the end user.

 GENERAL:

This SLA and Z&Zʼs privacy policy, which is incorporated herein by the reference, constitute the entire agreement of you and any Z&Z party concerning your use of the SOFTWARE, its OUTPUT and the MEDIA, and supersedes all discussions, proposals, bids, invitations, orders, d other communications, oral or written, on this subject. This SLA may not be waived, amended, or modified in any way except through a written agreement signed by Z&Z. If any one or more provisions of this SLA are found to be illegal or unenforceable, the remaining provisions will be enforced to the maximum extent possible.

GOVERNING LAW:

This SLA agreement, and any dispute arising out of or in connection with this SLA agreement, shall be governed by and construed in accordance with the laws of Seychelles.
